1. Overview

These Terms of Service ("Terms") govern access to and use of Bay Street Hospitality's website and proprietary platform Atlas (the "Terminal").

By accessing or using Atlas, you agree to these Terms.

Atlas is intended exclusively for institutional investors, partners, and approved users. Unauthorized use is strictly prohibited.

2. Nature of the Platform

Atlas is a quantamental intelligence system designed to support hospitality investment decision-making.

• It provides analytics, signals and modeling outputs
• It does not constitute investment advice, legal advice or a recommendation to transact
• All decisions remain the responsibility of the user

3. Access & Authorization

• Access is restricted to approved users
• Users must maintain the confidentiality of login credentials
• Bay Street reserves the right to grant, suspend, or revoke access at its discretion

4. Use Restrictions

You agree not to:

• Copy, distribute, or reverse engineer any part of the platform
• Extract or scrape data for external use
• Use Atlas for unlawful or unauthorized purposes
• Share access credentials with third parties

All platform outputs and methodologies are proprietary intellectual property.

5. Confidentiality

All information accessed through Atlas, including: deal data, market signals and models and outputs, is considered confidential and may not be disclosed without prior written consent.

6. Intellectual Property

All content, models, frameworks, and systems within Atlas are owned by Bay Street Hospitality.
This includes but is not limited to:

• Bay Score methodology
• Quantamental frameworks
• Data aggregation systems

No rights are granted except for authorized use within the platform.

7. Limitation of Liability

Bay Street Hospitality provides Atlas on an "as-is" basis. We do not guarantee:

• Accuracy or completeness of data
• Performance of investment outcomes
• Uninterrupted or error-free access

Bay Street shall not be liable for any indirect, incidental or consequential damages arising from use of the platform, including, but not limited to investment losses and decisions made based on platform outputs.

8. Termination

We reserve the right to suspend or terminate access for breach of these Terms, for security or compliance reasons, or at our sole discretion.

9. Governing Law

These Terms are governed by applicable international commercial and financial regulations, depending on the jurisdiction of use.
